Terms of Service

These Terms govern your access to and use of ZephfiChat, including the website, applications, AI chat services, subscriptions, credits, file features and related services.

Introduction

Welcome to ZephfiChat.

These Terms of Service govern your access to and use of the website at https://zephfichat.com; ZephfiChat applications; our artificial intelligence chat services; subscriptions and credits; uploaded-file and model features; and related services operated by Fortiplace Global Limited.

ZephfiChat is operated by Fortiplace Global Limited, a company registered in Nigeria.

References to ZephfiChat, Fortiplace, we, us and our mean Fortiplace Global Limited. References to you and your mean the individual or organisation using the Services.

By creating an account, purchasing a subscription or otherwise using ZephfiChat, you agree to these Terms and our Privacy Policy.

If you do not agree, you must not use the Services.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use ZephfiChat.

If you use ZephfiChat for an organisation, you confirm that you are authorised to act for that organisation; you have authority to accept these Terms on its behalf; and the organisation accepts responsibility for your use and the use of its authorised users.

You must not use ZephfiChat where doing so would violate applicable law.

Accounts

Certain features require an account.

ZephfiChat currently uses passwordless sign-in through one-time login codes sent to your registered email address. You agree to provide accurate and current registration information; keep your one-time login codes and active sessions confidential; maintain control of your registered email account; notify us promptly of unauthorised access; and accept responsibility for activity carried out through your account, except where caused by our failure to exercise reasonable care.

If password authentication becomes available in the future, you must use a strong and unique password and keep it confidential.

Accounts are personal to the registered user and may not be sold, transferred, rented or shared without our written permission.

We may require email verification, identity verification or additional security checks where reasonably necessary.

The ZephfiChat Service

ZephfiChat enables users to submit prompts and other content to artificial intelligence models and receive generated responses.

Available features may include text conversations, image understanding, file uploads, web-search functionality, reasoning models, code generation, conversation history, model selection, free or paid credits and subscriptions.

Features, models and providers may change over time.

We do not guarantee that every model or feature will always remain available.

Artificial Intelligence Limitations

Artificial intelligence generates responses statistically and may produce information that is incorrect, incomplete, misleading, outdated, biased, inappropriate or unrelated to your request.

You must independently review and verify important outputs before relying on them.

ZephfiChat is not a substitute for qualified professional advice. You should not rely solely on AI output for decisions involving medical diagnosis or treatment; legal rights or obligations; financial or investment decisions; credit or insurance decisions; employment decisions; immigration matters; emergency response; personal safety; or other high-risk activities.

Unless expressly stated otherwise, AI output is not reviewed or approved by a human professional.

You are responsible for deciding whether an output is appropriate for your intended use.

User Content

User Content means prompts, messages, files, images, code, feedback and other materials you submit through ZephfiChat.

You retain ownership of your User Content and any intellectual-property rights you hold in it.

By submitting User Content, you grant Fortiplace Global Limited a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, format, process, display and otherwise use the User Content only as reasonably necessary to provide the Services; generate requested responses; maintain conversation history; secure and operate ZephfiChat; troubleshoot problems; comply with law; and enforce these Terms.

This licence ends when the User Content is deleted from our active systems, except to the extent that continued processing is required for backups, legal compliance, security, dispute resolution or information already lawfully shared with a third party.

You represent that you own the User Content or have the necessary rights to submit it; its processing will not infringe another person's rights; it does not violate applicable law; and you have permission to disclose any personal or confidential information it contains.

AI-Generated Output

Subject to applicable law and third-party rights, you may use AI-generated output for lawful personal or commercial purposes.

Because AI models may generate similar or identical responses for different users, output may not be unique; another user may receive similar content; we do not guarantee that output is eligible for copyright or other intellectual-property protection; and we do not guarantee that output will not resemble third-party material.

You are responsible for reviewing output before publishing, distributing or commercially exploiting it.

ZephfiChat does not transfer ownership of third-party intellectual property to you.

Prohibited Uses

You must not use ZephfiChat to violate any applicable law or regulation; facilitate fraud, theft or deception; impersonate another person or organisation; infringe intellectual-property, privacy or publicity rights; harass, threaten or defame another person; exploit, abuse or endanger a child; create or distribute child sexual-abuse material; distribute malware, ransomware or harmful code; gain unauthorised access to an account, system or network; conduct credential theft, phishing or social engineering; bypass authentication, security controls or usage restrictions; interfere with the operation of the Services; conduct denial-of-service attacks; scrape or extract information from ZephfiChat through unauthorised automated means; resell or sublicense account access without permission; avoid fees or manipulate credit calculations; create multiple accounts to circumvent free-tier restrictions; misrepresent AI-generated content as human-generated where disclosure is legally required; process personal data unlawfully; submit information you are prohibited from disclosing; or use the Services to develop, train or benchmark a directly competing service through systematic extraction without our written permission.

Security research is governed by the ZephfiChat Security Policy.

Moderation and Enforcement

We may use automated and manual measures to detect abuse, fraud, security threats, prohibited content, unusual usage, payment abuse and violations of these Terms.

Where reasonably necessary, we may block a request, restrict a model, remove content, limit account functionality, suspend an account, revoke promotional credits, require additional verification or terminate access.

We will consider the seriousness, frequency and potential impact of the conduct when deciding what action to take.

We may report unlawful activity to appropriate authorities where required or permitted by law.

Plans and Credits

ZephfiChat may offer Free, Starter, Pro or other plans.

Plans may include a subscription period, a specified number of credits, access to particular models, model-specific limits, file or image limits, rate limits, priority processing and other features described on the pricing page.

Credits are internal usage units used to measure access to artificial intelligence models and related Services.

Credits are not electronic money, have no cash value, cannot be withdrawn, cannot be transferred between users, cannot be exchanged for Nigerian naira or another currency and may only be used within ZephfiChat.

Unless the applicable plan expressly states otherwise, subscription credits are valid only during the applicable billing period; unused subscription credits do not roll over; unused credits expire when the billing period ends; free or promotional credits may expire; credits allocated through a subscription may be lost when the subscription ends; and expired credits are not refundable or redeemable for cash.

Purchased credit bundles, where offered separately, may have different validity periods displayed at checkout.

How Credits Are Charged

Different AI models have different provider costs.

The number of credits consumed by a request may depend on the selected model, input tokens, output tokens, reasoning tokens, cached tokens, image or file processing, tool usage, web-search usage, provider fees, currency-conversion costs, applicable taxes and the pricing multiplier assigned to the model.

Before processing a request, ZephfiChat may reserve an estimated number of credits.

After processing, we may charge the actual calculated usage, return unused reserved credits, charge additional credits where the final usage exceeds the original estimate subject to available balance, or stop or reject a request where there are insufficient credits.

Provider pricing and model availability may change without our control. This may cause the number of credits required for a model to change.

We will display current plan and credit information through the Services where reasonably practicable.

Prices and Payment

Prices are displayed in Nigerian naira or another currency shown at checkout.

You agree to pay the displayed subscription or purchase price, applicable taxes, authorised recurring charges and any other fee clearly disclosed before purchase.

Payments are processed by Paystack or another displayed payment provider.

By submitting a payment, you authorise the payment provider and Fortiplace Global Limited to process the transaction.

We do not guarantee that every card, bank or payment method will be accepted.

A subscription is not active until payment has been successfully confirmed.

Automatic Renewal

Where you purchase an automatically renewing subscription, your subscription will renew at the end of each billing period; your selected payment method may be charged automatically; renewal will be at the price communicated to you, subject to any properly notified change; you authorise Paystack and Fortiplace Global Limited to process each recurring charge; and the subscription will continue until cancelled, payment fails or access is terminated.

You may cancel automatic renewal through available account settings or by contacting support@zephfichat.com.

To avoid the next renewal charge, cancellation must be completed before the renewal payment is processed.

Cancellation normally takes effect at the end of the current paid billing period.

Failed Payments

If a payment fails, we may retry the payment, notify you, restrict paid features, move the account to a free plan, suspend the subscription or cancel the subscription.

You remain responsible for charges that were validly incurred before cancellation.

A failed or abandoned payment should not create credits unless the transaction is later confirmed as successful.

Cancellations and Refunds

You may cancel your subscription at any time.

Unless required by law or stated otherwise, cancellation prevents future renewals; cancellation does not automatically refund the current billing period; access may continue until the end of the paid period; used credits are not refundable; and unused subscription credits expire at the end of the paid period.

You may be eligible for a refund or account adjustment where you were charged more than once for the same transaction; Paystack confirmed payment but credits or subscription access were not provided; we charged you after a cancellation that became effective; the paid Service was materially unavailable due to our fault; an unauthorised charge is confirmed; a refund is required under applicable consumer law; or we agree that another exceptional circumstance justifies a refund.

Refund requests should be submitted promptly to support@zephfichat.com with the transaction reference and relevant details.

Approved refunds will generally be returned through the original payment method. Processing times may depend on Paystack, your bank and the payment channel.

Nothing in these Terms excludes a refund, remedy or consumer right that cannot lawfully be excluded.

Price and Plan Changes

We may change subscription prices, credit allocations, model-access rules, usage limits, model credit multipliers and included features.

Changes will not normally affect a paid billing period that has already begun.

For recurring subscriptions, material price changes will be communicated before the new price is charged where required by law.

Continuing a subscription after the effective date of a notified change constitutes acceptance of the new price or plan.

You may cancel before the new price takes effect.

Third-Party Services

ZephfiChat relies on third parties, including Paystack for payments, Resend for email delivery, OpenRouter for AI routing, external artificial intelligence providers, authentication providers, hosting and storage providers, and security, monitoring and analytics providers.

Third-party services may be governed by separate terms and privacy policies.

We are not responsible for an external provider's independent acts, omissions or service interruptions, except to the extent that responsibility cannot lawfully be excluded.

A model provider may modify, suspend or discontinue a model without notice to us.

Privacy

Our collection and processing of personal data is governed by the ZephfiChat Privacy Policy.

By using the Services, you acknowledge that prompts and other content may need to be transmitted to OpenRouter and the selected AI provider to generate a response.

Do not submit information you are not authorised to disclose.

ZephfiChat Intellectual Property

Fortiplace Global Limited and its licensors own the Services, including the ZephfiChat name and branding, website and application design, software, databases, interfaces, documentation, graphics, features and content supplied by us.

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to access and use ZephfiChat.

This licence does not permit you to copy or commercially exploit the Services; reverse engineer the Services except where legally permitted; remove copyright or ownership notices; use our trademarks without permission; create a misleading association with ZephfiChat; or sublicense access to the Services.

Copyright and Intellectual-Property Complaints

We respect intellectual-property rights.

To report alleged infringement, email support@zephfichat.com and provide identification of the protected work, identification and location of the allegedly infringing material, an explanation of your rights, your name and contact information, a good-faith statement supporting the complaint, and your physical or electronic signature.

We may remove or restrict access to disputed material while investigating.

Submitting a knowingly false complaint may expose the complainant to legal liability.

Feedback

You may provide suggestions, ideas or feedback about ZephfiChat.

You grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify and incorporate that feedback without payment or obligation to you.

This section applies to feedback about ZephfiChat and does not transfer ownership of your private conversations or uploaded files.

Beta Features

Some features may be labelled beta, preview, experimental or early access.

These features may contain errors, change without notice, be unavailable, produce unexpected results or be discontinued.

Use of beta features is voluntary and at your own risk.

Suspension and Termination

You may stop using ZephfiChat or cancel your account at any time.

We may suspend or terminate access where you materially breach these Terms; payment remains unpaid; your use creates security or legal risk; your activity threatens other users or the Services; we are required to do so by law; you engage in fraud or abuse; or continued provision of the Services is no longer reasonably practicable.

Where appropriate, we may provide notice and an opportunity to address the issue.

Immediate suspension or termination may occur where necessary to prevent harm, fraud, security incidents or unlawful conduct.

Following termination, your right to use the Services ends; unused promotional credits may be cancelled; subscription credits may expire; User Content may be deleted according to our Privacy Policy; and provisions intended to survive termination will remain effective.

Service Availability and Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability.

The Services may be unavailable because of maintenance, software errors, provider outages, internet failures, security incidents, regulatory restrictions, excessive demand, force-majeure events or circumstances beyond our reasonable control.

We may modify, replace or discontinue a feature or model.

Where discontinuation materially affects an active paid subscription, we may provide an appropriate alternative, credit adjustment or refund where required by law.

Disclaimers

To the maximum extent permitted by law, ZephfiChat is provided on an as available basis.

We do not guarantee that every AI response will be accurate; output will meet your requirements; output will be unique; output will be free from third-party rights; every model will remain available; the Services will be uninterrupted; all errors will be corrected; or the Services will be suitable for a particular professional or commercial purpose.

Nothing in these Terms excludes warranties, guarantees or consumer rights that cannot lawfully be excluded.

Limitation of Liability

Nothing in these Terms limits liability for fraud or fraudulent misrepresentation; wilful misconduct; gross negligence where it cannot lawfully be excluded; death or personal injury caused by negligence; breach of obligations that cannot be limited under applicable law; or any other liability that cannot lawfully be excluded.

Subject to the above, Fortiplace Global Limited will not be liable for indirect, incidental, special, exemplary or consequential losses arising from use of the Services, including loss of profits, opportunity, goodwill or anticipated savings.

Where legally permitted, Fortiplace Global Limited's total aggregate liability arising from the Services will not exceed the total amount you paid to ZephfiChat during the 12 months immediately preceding the event giving rise to the claim.

This limitation does not affect any mandatory consumer remedy available under Nigerian law.

Indemnity

To the extent permitted by law, you agree to indemnify Fortiplace Global Limited against third-party claims, losses and reasonable costs arising directly from your unlawful use of the Services, your material breach of these Terms, your infringement of another person's rights or User Content you were not authorised to submit.

This obligation does not apply to the extent that a claim was caused by our negligence, misconduct or breach of these Terms.

Complaints and Dispute Resolution

Before beginning formal proceedings, you and Fortiplace Global Limited agree to attempt in good faith to resolve a dispute.

You may submit a complaint to support@zephfichat.com. Please include your account email address, a description of the issue, the relevant transaction or conversation information and the outcome you are requesting.

We will investigate and respond within a reasonable period.

Nothing in this section prevents you from exercising statutory consumer rights, submitting a complaint to an appropriate regulator, requesting urgent court relief or bringing a claim where informal resolution is unsuccessful.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Subject to applicable consumer rights, the courts of competent jurisdiction in Nigeria will have jurisdiction over disputes arising from these Terms or the Services.

Changes to These Terms

We may update these Terms to reflect changes to the Services, changes to pricing or subscriptions, changes to providers, changes in law, security requirements or operational improvements.

We will update the Last Updated date when revisions are made.

Where a change materially affects your rights or an active paid subscription, we may provide notice through the Services or by email.

Continued use after the effective date of revised Terms constitutes acceptance of those Terms.

General Provisions

These Terms and the Privacy Policy constitute the agreement between you and Fortiplace Global Limited concerning ZephfiChat.

If a provision is found unlawful or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign your rights under these Terms without our permission.

We may assign these Terms as part of a merger, restructuring, financing or transfer of the ZephfiChat business, subject to applicable law.

No person other than you and Fortiplace Global Limited has a right to enforce these Terms unless expressly stated.
